Terms of Service

1. Agreement to these terms

These Terms of Service (the "Terms") are a legal agreement between you and Foreverthread Pty Ltd (ACN 699 498 738) ("Foreverthread", "we", "us", or "our") governing your use of the Foreverthread mobile application (the "App"). By downloading, accessing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the App.

2. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your country, if higher) to use the App. By using the App, you confirm that you meet this requirement and that you are able to enter into a binding agreement.

3. Licence to use the App

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to download and use the App on a device you own or control, for your own personal, non-commercial use. We and our licensors retain all rights, title, and interest in the App not expressly granted to you.

4. Acceptable use

You agree not to:

• Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the extent this restriction is prohibited by law;
• Rent, lease, lend, sell, redistribute, or sublicense the App;
• Use the App for any unlawful purpose, or in violation of any applicable law or the rights of others;
• Interfere with or attempt to bypass the App's security, or use it in a way that could damage or impair it;
• Remove or alter any proprietary notices.

5. Your information and the people you add

You are responsible for the information you enter into the App, including information about other people you choose to add. By adding another person's information, you confirm that you are entitled to do so and that you will use it lawfully and respectfully.

Your data is stored on your device. The App stores your information locally on your device and not on our servers. This means you are responsible for maintaining your own backups where your device allows, and we are not responsible for any loss of your information, including loss caused by your device being lost, damaged, or reset, or by the App being deleted or uninstalled. Please see our Privacy Policy for more detail.

6. Subscriptions, free trials, and billing

Some features of the App require a paid subscription ("Foreverthread Premium").

• Plans and pricing. We offer an auto-renewing monthly plan and an auto-renewing yearly plan. Standard pricing is $6.99 per month and $49.99 per year. The exact price and currency applicable to you are shown in the App before you purchase and may vary by region and change over time.
• Free trial. The yearly plan may include a 7-day free trial. If you do not cancel at least 24 hours before the trial ends, it will automatically convert to a paid subscription and your account will be charged. If you subscribe before a free trial ends, any unused portion of the trial is forfeited.
• Automatic renewal. Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the current period ends.
• Managing and cancelling. Purchases are processed by the Apple App Store or Google Play. You can manage or cancel your subscription at any time in your Apple ID or Google Play account settings. We are not able to cancel your subscription for you, and deleting the App does not cancel it.
• Payments. Payment is charged to your Apple or Google account. We never receive your payment card details. We use RevenueCat, Inc. to validate and manage subscription status, as described in our Privacy Policy.
• Price changes. We may change subscription prices from time to time. Changes apply to future billing periods, and where required by the app stores or law, you will be asked to agree to a new price before it takes effect.
• Refunds. Except where required by law, payments are non-refundable, and refunds are handled by the Apple App Store or Google Play under their respective policies. Your rights under the Australian Consumer Law (see Section 11) are not affected.

7. Intellectual property

The App, including its software, design, look and feel, text, graphics, and the "Foreverthread" name and logo, is owned by Foreverthread or its licensors and is protected by intellectual property laws. Except for the licence granted in Section 3, these Terms do not give you any rights in the App or our intellectual property.

8. Third-party services

The App relies on third-party services, including the Apple App Store, Google Play, and RevenueCat. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. If any third-party terms conflict with these Terms in respect of that third party's service, the third party's terms govern that service.

9. App Store and Google Play terms

These Terms are between you and Foreverthread only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). The following applies to the extent you obtained the App through the Apple App Store or Google Play:

• Apple and Google are not responsible for the App or its content, and have no obligation to provide maintenance or support for it. Foreverthread is solely responsible for the App and any support we choose to provide.
• In the event of any failure of the App to conform to any applicable warranty, you may notify the relevant app store, and (where applicable) the app store may refund the purchase price; to the maximum extent permitted by law, the app store has no other warranty obligation with respect to the App.
• Foreverthread, not the app store, is responsible for addressing any claims relating to the App, including product liability, legal or regulatory non-compliance, and consumer protection claims, subject to these Terms and applicable law.
• You represent that you are not located in a country subject to a relevant government embargo, and that you are not on any relevant list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
• You must comply with all applicable third-party terms of the app store when using the App.

10. Disclaimers

The App is a tool to help you keep track of and maintain your personal relationships. It is an organisational aid only: we do not guarantee that reminders or notifications will always be delivered (this depends on your device and settings), and we are not responsible for any missed dates, events, or communications.

To the maximum extent permitted by law, and subject to Section 11, the App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.

11. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded. For major failures with the service, you are entitled to the remedies provided by that law. Where our liability for a failure to comply with a consumer guarantee can be limited (that is, the guarantee does not relate to goods or services of a kind ordinarily acquired for personal, domestic, or household use), our liability is limited, at our option, to resupplying the affected services or paying the cost of having them resupplied.

12. Limitation of liability

To the maximum extent permitted by law and subject to Section 11, Foreverthread will not be liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of data, profits, or goodwill, arising out of or relating to your use of, or inability to use, the App. As noted in Section 5, because your information is stored only on your device, we are not responsible for any loss of that information.

To the maximum extent permitted by law and subject to Section 11, our total aggregate liability arising out of or relating to the App or these Terms is limited to the total amount you paid for your subscription (if any) in the 12 months before the event giving rise to the liability.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold Foreverthread harmless from any claims, liabilities, damages, and reasonable expenses arising out of your misuse of the App, your breach of these Terms, or your handling of information about other people in breach of applicable law or these Terms.

14. Termination

You may stop using the App at any time and remove it from your device. We may suspend or terminate your access to the App if you breach these Terms or use the App in a way that could cause harm or legal liability. Cancelling your subscription is done through your app store account (see Section 6). Provisions that by their nature should survive termination — including Sections 5, 7, and 10 to 15 — will survive.

15. Changes to the App and these Terms

We may update the App and these Terms from time to time. If we make material changes to these Terms, we will notify you within the App or by other reasonable means and update the "Last updated" date above. Your continued use of the App after changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Victoria, Australia, and you and Foreverthread submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them. Nothing in this section limits any right you may have to bring proceedings, or rely on protections available to you, under the laws of the place where you live.

17. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Foreverthread regarding the App. If any provision is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or joint venture between you and us.
